VINTAGE-ETC (PTY) LTD - TERMS AND CONDITIONS OF TRADE
1. Application and Binding Agreement
These Terms and Conditions govern all quotations, orders, manufacture, supply, delivery, installation, competitions, digital engagement, and services provided by Vintage-etc (Pty) Ltd. By placing an order, approving a quotation, making payment, accepting delivery, or using the Vintage-etc website or digital platforms, the Client agrees to be legally bound by these Terms under the laws of the Republic of South Africa.
2. Incorporation of Deliveries, Returns and Refunds Policy
These Terms must be read together with the Vintage-etc Deliveries, Returns and Refunds Policy, which is incorporated by reference and forms part of this agreement. All matters relating to delivery, risk, transport, insurance, access, returns, refunds, replacements, and suitability are governed by that policy in addition to these Terms. Where any inconsistency arises, the Deliveries, Returns and Refunds Policy shall prevail in respect of those matters.
3. Quotations and Pricing
All quotations are valid for seven calendar days unless otherwise agreed in writing. Pricing is subject to fluctuation due to supplier cost increases, raw material shortages, exchange rate movement, statutory charges, or transport variations. No quotation is binding until accepted in writing and the required deposit or payment has been received.
4. Payment Structure and Deposits
Custom manufactured goods require a seventy percent production deposit prior to commencement of manufacture together with written approval of specifications, materials, finishes, and dimensions. Production will not commence without both deposit and signed mandate. The remaining balance is payable in full prior to release, dispatch, or collection. Ownership of goods transfers only upon full payment.
5. Payment Default, Retention and Right of Resale
Where any outstanding balance remains unpaid ten working days after written notice that goods are ready for collection or dispatch, Vintage-etc may retain all goods until payment is made in full. If payment remains outstanding thereafter, Vintage-etc reserves the right to sell or otherwise dispose of the goods to recover costs incurred. No refund of deposits or partial payments shall be due in such circumstances, and any shortfall may be recovered from the Client. Where an order comprises multiple items, the entire order shall be retained until paid in full.
6. Entire Agreement and Binding Invoice
A paid quotation or invoice constitutes a binding written agreement. The specifications, dimensions, finishes, and materials reflected on the approved and paid invoice are final and binding. No verbal, WhatsApp, or informal email communication shall override the written and paid invoice unless varied in writing and signed by both parties.
7. Material Availability
All stock and raw materials are subject to availability at time of payment. Where specific materials cannot be sourced, Vintage-etc will offer alternatives or refund amounts paid if manufacture cannot proceed.
8. Custom Specifications and Client Responsibility
All custom items are manufactured in accordance with the specifications approved by the Client prior to manufacture.
The Client warrants that all measurements, drawings, design instructions and specifications supplied to Vintage-etc are accurate and complete. Vintage-etc shall not be responsible for defects, dimensional discrepancies, structural limitations, or performance issues arising from incorrect, incomplete, impractical, or unsuitable information provided by the Client or their representatives.
Where the Client supplies their own design, drawings, measurements, or requests specifications that differ from Vintage-etc’s standard catalogue items, the Client acknowledges that Vintage-etc is acting on instruction to manufacture the item according to those specifications. In such circumstances, Vintage-etc does not assume responsibility for the engineering, structural integrity, load tolerance, durability, or long-term performance of the design unless Vintage-etc has been expressly retained in writing to provide design or structural consultation.
Examples include, but are not limited to, unusually large tables, unusually wide spans, unusually thin timber members or door frame elements, the election not to use safety glass where normally recommended, pedestal bases with narrow or reduced diameters, or any other specifications requested by the Client that fall outside Vintage-etc’s normal production standards for custom order items.
If, after manufacture or installation, it becomes apparent that modifications are required as a result of the Client’s supplied specifications, measurements, or instructions, such work shall constitute a variation to the original order. Any variation work will be quoted separately and must be approved by the Client in writing before the work is undertaken. Where collection of the item, transport, travel to site, or additional installation services are required in order to carry out such modifications, the associated costs may be included in the variation quotation.
Should the Client require Vintage-etc to advise on, design, or structurally specify such items, this must be agreed in writing under a separate design or consultation mandate and may be subject to additional professional fees.
Once manufacture of a custom item has commenced, the order may not be cancelled and payments made are non-refundable except where required by applicable law.
9. Dimensional Tolerance and Timber Thickness
All custom manufactured goods are subject to reasonable industry tolerances. A dimensional tolerance of up to five millimetres shall be regarded as acceptable and shall not constitute a defect. Timber thickness quoted refers to raw timber prior to machining, sanding, and finishing. Finished dimensions may be marginally reduced due to manufacturing processes.
10. Natural Material Variation
Furniture produced from natural materials including solid timber, stone, marble, steel, and glass will exhibit variation in grain, tone, texture, and finish. Such variation is inherent and does not constitute a defect.
11. Timber Movement and Acclimatisation
Solid timber is hygroscopic and will expand, contract, settle, and respond to environmental conditions including temperature, humidity, airflow, altitude, and seasonal variation. After installation, natural acclimatisation may result in minor splitting, surface checking, hairline cracking, visible joint lines, slight warping, or dimensional movement within industry tolerance. These characteristics are inherent and do not constitute manufacturing defects or grounds for refund or replacement.
12. Environmental Exposure, Heat Sources and Natural Timber Movement
Timber furniture is manufactured from natural materials that respond to environmental conditions. Exposure to fireplaces, braais, barbecues, heaters, underfloor heating, direct sunlight, coastal air, enclosed glass environments, or other concentrated heat sources may result in drying, cracking, warping, expansion, contraction, or structural movement, particularly in the first few months of manufacture as the wood settles.
Furniture placed in sunrooms, patios, or areas exposed to direct sunlight through glass or windows may experience intensified heat and temperature fluctuations. Glass surfaces may magnify heat and sunlight, creating conditions that accelerate timber movement or surface stress. Such natural material responses do not constitute a manufacturing defect.
Vintage-etc does not inspect or assess the premises or environment in which furniture will be placed unless expressly agreed in writing. The Client is responsible for disclosing the intended placement environment of the furniture, including any exposure to direct sunlight, heat sources, coastal air, patios, outdoor-adjacent areas, or other environmental conditions that may affect timber performance.
Where the Client does not request advice regarding the suitability of a particular timber species, design, or construction method for the intended environment, Vintage-etc acts on the Client’s instruction and assumption that the selected materials and design are suitable for those conditions.
Certain timber species, including but not limited to French Oak, Prime Oak, Ash, and Beech, may be unsuitable for environments subject to sustained heat exposure, direct sunlight, or significant temperature fluctuations such as patios, sunrooms, or areas adjacent to heat sources. Timber species with greater tolerance to heat exposure may include Teak, Meranti, or Iroko.
Where a Client elects to proceed with materials or specifications that may be unsuitable for the intended environment, any resulting cracking, movement, distortion, separation, or material change shall be regarded as environmental exposure and natural timber movement and not a manufacturing defect. Vintage-etc shall not be liable for product performance in environments unsuitable for the selected material unless Vintage-etc has been expressly retained in writing to assess the environment and recommend appropriate materials or construction methods.
Timber is a hygroscopic material that naturally expands and contracts in response to changes in temperature and humidity. Minor movement, surface checking, hairline cracks, joint movement, or dimensional changes may occur over time and are inherent characteristics of solid wood products. Such natural characteristics do not constitute manufacturing defects.
13. Surface Care and Sealants
Vintage-etc applies professional sealants; however no timber surface is fully impervious. Ring marks, water marks, staining, scratches, dents, and wear arising from use or failure to use protective measures such as coasters do not constitute defects. Care and maintenance remain the responsibility of the Client.

14. Warranty and Structural Defects
Vintage-etc does not warrant longevity where deterioration arises from misuse, wear and tear, environmental exposure, pets, commercial use, or neglect. This does not exclude statutory warranties relating to structural defects present at delivery. Structural defects must be reported in writing within thirty calendar days with photographic evidence. Verified defects will be remedied by repair or replacement at Vintage-etc’s discretion.
15. Six Month Limitation
No claim for refund or replacement will be considered after six calendar months from delivery in respect of wear, misuse, or environmental exposure. Latent structural defects not reasonably detectable within that period may be considered if reported within a reasonable time after discovery.
16. Delivery, Risk and Insurance
Delivery is outsourced to independent third-party couriers. Long-haul deliveries exceeding twenty kilometres are outsourced as standard. Vintage-etc does not carry transit insurance and provides no indemnity for goods in transit. Risk passes to the Client upon dispatch. Clients are responsible for arranging transit insurance.
17. Wrapping and Transit Damage
Vintage-etc takes reasonable care in packaging goods prior to dispatch and may provide confirmation images. Damage occurring during transport or offloading does not constitute manufacturing defect and must be pursued with the transporter or insurer.
18. Access and Site Constraints
The Client is responsible for ensuring adequate access at delivery location. Vintage-etc does not conduct site inspections unless agreed. Undeclared access constraints may result in additional charges. Failed deliveries remain for the Client’s account.
19. Variation Orders
Where adjustment, modification, disassembly, remake, or additional labour is required due to incorrect specifications supplied by the Client or undeclared access constraints, such work constitutes a variation order and shall be quoted and charged separately.
20. Returns and Refunds
All returns and refunds are governed exclusively by the Vintage-etc Deliveries, Returns and Refunds Policy. Custom manufactured goods are non-returnable. Imported ready-made goods may be returned only in accordance with that policy.
21. Intellectual Property of Vintage-etc
All designs, drawings, renders, technical documents, specifications, proposals, pricing schedules, and creative materials produced by Vintage-etc remain its exclusive intellectual property. No reproduction, adaptation, disclosure, tendering, or commercial use is permitted without prior written consent.
22. Client-Supplied Designs and IP Warranty
Where the Client supplies designs, images, or references based on third-party products, the Client warrants that they have lawful authority to use such designs. The Client indemnifies Vintage-etc against any claim arising from alleged infringement of intellectual property resulting from manufacture based on client-supplied materials. Vintage-etc reserves the right to refuse manufacture where infringement risk is suspected.
23. Use of Images and Branding
Vintage-etc reserves the right to photograph and display products manufactured or supplied for marketing purposes. Clients may request anonymity in writing prior to delivery. Vintage-etc may apply a discreet branded badge unless declined in writing before manufacture.
24. Competitions and Third-Party Partnerships
All competitions and affiliate arrangements are subject to availability and agreed deliverables. Prizes are not exchangeable for cash and are subject to availability. Vintage-etc reserves the right to amend or withdraw competitions where partner obligations are not fulfilled.
25. Privacy and Data Protection
Vintage-etc processes personal information in accordance with the Protection of Personal Information Act and applicable South African law. Personal data is collected only for legitimate business purposes including processing orders, delivery coordination, marketing communication where consent is given, competition administration, and operational improvement. Personal information will not be sold and will only be shared with service providers where necessary for fulfilment of contractual obligations.
26. Website Use and Acceptance of Terms
By accessing, browsing, or using the Vintage-etc website or any associated social or digital platforms, the user agrees to be bound by these Terms and Conditions. Continued use of the website constitutes acceptance of the Terms as published and amended from time to time. Users agree not to misuse the website, attempt unauthorised access to systems, transmit malicious code, scrape or harvest content, reproduce product data, reverse engineer functionality, or use the website for unlawful or competitive purposes. Vintage-etc reserves the right to restrict, suspend, or terminate access where misuse is reasonably suspected.
27. Cookies and Digital Tracking Technologies
The Vintage-etc website utilises cookies, tracking pixels, analytics services, and related technologies to improve functionality, analyse traffic patterns, measure marketing performance, personalise user experience, and optimise product offerings. By using the website, users consent to the placement and use of such technologies in accordance with applicable data protection legislation, including the Protection of Personal Information Act. Users may disable cookies through browser settings; however, doing so may limit website functionality. Digital data collected through these technologies is processed in accordance with the Vintage-etc Privacy Policy.
28. Force Majeure and Operational Delays
Vintage-etc shall not be liable for delay or failure in performance due to events beyond its reasonable control including supplier shortages, subcontractor delays, load shedding, transport disruptions, labour disruptions, material shortages, governmental restrictions, or national emergencies.
29. Dispute Resolution and Arbitration
Clients must notify Vintage-etc in writing of any dispute and allow fourteen calendar days for resolution. If unresolved, disputes shall be referred to arbitration conducted under the rules of the Arbitration Foundation of Southern Africa. Nothing in this clause limits statutory rights under the Consumer Protection Act.
30. Limitation of Liability
To the maximum extent permitted by law, Vintage-etc shall not be liable for indirect, consequential, incidental, or economic loss including loss of profit, loss of revenue, or loss of opportunity. Where liability cannot be excluded under applicable law, it shall be limited to the maximum extent permitted by the Consumer Protection Act and other relevant legislation.
31. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of South Africa. Subject to statutory consumer protections, the courts of Cape Town, Western Cape, shall have jurisdiction in respect of disputes arising from these Terms.
32. Electronic Communication and Validity
These Terms are binding in electronic form under the Electronic Communications and Transactions Act. A valid agreement arises through written confirmation, electronic acceptance, or payment against invoice.
